Non-Disclosure
Agreement

1. Mutual Confidential Information

Each party agrees that the following information is strictly confidential and shall not be disclosed to any third party:

• The existence of this arrangement and the nature of the services engaged
• The Client's full name, contact details, event information, and personal circumstances
• The Service Provider's personal information, pricing details, and business operations
• Any backstory, cover story, or narrative developed collaboratively for the event
• Any communications, text messages, emails, or calls exchanged between the parties
• Event details including venue, guest list, and any information shared in confidence

2. Social Media & Public Disclosure

Neither party shall post, tag, share, or otherwise publish any content on social media platforms, review sites, forums, or public-facing media that identifies the other party in connection with this arrangement. This includes but is not limited to Instagram, TikTok, Facebook, X (Twitter), Reddit, Yelp, Google Reviews, and any other platform whether public or semi-public.

The Client agrees not to photograph, video, or audio-record the Service Provider without prior explicit consent. The Service Provider agrees not to post any images or accounts of the event without explicit written consent from the Client.

3. Third-Party Disclosure

Neither party shall discuss, describe, or otherwise disclose the existence or specifics of this arrangement to family members, friends, coworkers, or any other individuals not directly party to this Agreement. Each party shall take reasonable precautions to prevent accidental disclosure of confidential information.

4. Service Provider Obligations

Kearston specifically agrees to:

• Keep the Client's identity and all personal information strictly private
• Never discuss the Client, the event, or the arrangement with any third party
• Delete or securely store any personal data shared during event planning
• Maintain the agreed-upon backstory for the duration of the event and after
• Decline to confirm or deny any media or third-party inquiries about the Client

5. Client Obligations

The Client specifically agrees to:

• Not publicly identify Kearston as a hired companion or professional plus-one service
• Not share Kearston's personal information, contact details, or pricing with third parties
• Not post reviews, testimonials, or accounts of the arrangement on any public platform
• Handle all pre-event communications with appropriate discretion
• Inform Kearston promptly if any accidental disclosure occurs

6. Duration

This Agreement takes effect upon booking confirmation and remains in force indefinitely. The confidentiality obligations survive the completion of the event and the conclusion of the business relationship between the parties.

7. Remedies

Each party acknowledges that breach of this Agreement may cause irreparable harm for which monetary damages would be an inadequate remedy. In addition to any other remedies available at law, the non-breaching party may seek equitable relief, including injunctive relief, to prevent or curtail any breach or threatened breach of this Agreement.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of Williamson County, Illinois.

9. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to non-disclosure and supersedes all prior discussions on the subject. Submitting a booking inquiry and receiving a booking confirmation constitutes acceptance of these terms.
